1. These general conditions are applicable to all the services supplied by KUDOS BVBA.
  2. The client agrees to pay the agreed prices in euros, on the account number BE36 7360 5690 1981 of KBC Bank, specified on the invoice. If not KUDOS BVBA cannot guarantee content nor performance of the services.
  3. The invoices are payable 15 (fifteen) days date of the invoice. In the event of delay in payment, without prior notice being required, an interest equivalent to the statutory interest increased by 2% shall be due. In addition, without prior notice being required, a compensation at the rate of 10% of the invoice amount, with a minimum of €50,00, shall be due.
  4. Any delay in the performance, or changes to the range or programme of services offered by KUDOS BVBA, can not result in payment of any compensation.
  5. KUDOS BVBA shall not be liable for any loss or damage, directly or indirectly caused by or as a result of an improper or negligent execution of the services unless the client proves that this was due to a gross negligence on the part of KUDOS BVBA. In this case the liability of KUDOS BVBA is limited to 2.500,00 euros.
  6. Both parties and their insurers grant mutual waiver of recourse against each other and their insurers for all damage and losses (including material damage and losses, physical injury and death of their employees and indirect damage).
  7. The client agrees to indemnify and hold KUDOS BVBA harmless against all possible damage and all possible claims from third parties. If the services are organized on the premises of the client himself, the client agrees to insure his liability appropriately and sufficiently with an insurance company recognized by KUDOS BVBA and to supply proof of this on the first request.
  8. Each complaint or claim against KUDOS BVBA must be received by registered letter within a period of 8 (eight) calendar days following the actual execution of the services. After that period all rights are expired.
  9. The Belgian law applies to all the services performed by KUDOS BVBA.
  10. All possible disputes between the client and/or his or her representative, and KUDOS BVBA, will be settled amicably between the parties. In the absence of an amicable settlement, the dispute shall be submitted to the courts of Leuven, which have sole jurisdiction.
